Terms of Service
Short version. You get software that helps you manage Android devices. You agree to use it lawfully and not abuse it. We agree to keep it running and treat your data with care. Estonian law applies. If the whole service goes down, our liability is capped at what you paid us in the last 12 months.
These Terms of Service ("Terms") govern your access to and use of the Anvil MDM platform, website, APIs, and related services (collectively, the "Service"), provided by P3Consulting OÜ, a company registered in Estonia ("Anvil", "we", "us"). By creating an account, joining the waitlist, or using the Service, you ("Customer", "you") agree to these Terms.
1. The Service
Anvil MDM is a mobile device management platform for Android Enterprise devices. It provides device enrollment, policy management, compliance reporting, remote commands, application distribution, and related operations, using the Google Android Management API and proprietary components.
The Service is offered in two editions:
- Anvil MDM Community, an open-source edition available under the GNU Affero General Public License v3 (AGPLv3). These Terms do not restrict the rights granted by that license. Use of Community edition is "as-is" with no warranty or support commitment.
- Anvil MDM (commercial edition), which includes additional proprietary modules and support, provided under subscription.
2. Account and eligibility
You must be at least 18 years old and legally authorized to enter into contracts on behalf of your organization. You agree to provide accurate information, keep your credentials secure, and promptly notify us at security@anvilmdm.com of any suspected unauthorized access.
3. Acceptable use
You agree not to:
- Use the Service to manage devices without proper authorization from the device owners or end users as required by applicable law.
- Reverse engineer, decompile, or extract the source of the commercial (non-Community) components, except as permitted by law.
- Use the Service to transmit unlawful, harmful, or infringing content, or to violate the rights of others.
- Probe, scan, or test the vulnerability of the Service without our prior written consent, except under a coordinated security-research program we publish.
- Circumvent usage limits, access restrictions, or license entitlements.
- Use the Service to build a competing product by copying features or content.
4. Customer data and privacy
Your use of the Service is also governed by our Privacy Policy. When you use Anvil MDM to manage devices belonging to your end users, you are the data controller and Anvil is a data processor on your behalf. A separate Data Processing Addendum (DPA) is available and incorporated by reference for subscription customers.
You are responsible for obtaining any consents or notifications required from your end users for device management activities.
5. Fees, billing, and taxes
Fees for paid subscriptions are disclosed at the time of purchase. Subscriptions renew automatically unless cancelled before the next billing date. All fees are exclusive of VAT and other applicable taxes, which will be added where required.
Unpaid invoices past 30 days may result in suspension of the Service. We do not offer refunds for partial periods except where required by law.
6. Google services dependency
7. Intellectual property
Except for the Community edition governed by AGPLv3, all Anvil MDM software, trademarks, logos, and content remain the exclusive property of P3Consulting OÜ. Subject to these Terms and any applicable order form, we grant you a non-exclusive, non-transferable, worldwide right to use the commercial Service during your subscription.
You retain all rights to data you or your end users submit to the Service ("Customer Data"). You grant us the minimum rights necessary to operate the Service and deliver features you request.
8. Service availability and support
We target high availability for paid tiers and will publish a Service Level Agreement for applicable plans. Planned maintenance will be announced in advance where feasible. The Community edition is provided without availability commitments.
9. Disclaimers
Except as expressly stated, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. The Community edition is provided strictly under the terms of AGPLv3 with no warranty.
10. Limitation of liability
To the maximum extent permitted by law, in no event shall Anvil, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service.
Our aggregate liability for any claim arising out of these Terms or the Service shall not exceed the total fees paid by you to Anvil in the twelve (12) months preceding the event giving rise to the liability, or EUR 100 if no fees were paid.
Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
11. Termination
You may terminate your subscription at any time through your account settings or by writing to hello@anvilmdm.com. We may suspend or terminate the Service immediately in case of material breach of these Terms, non-payment, or if required by law. Upon termination, your right to use the commercial Service ceases; we will make Customer Data available for export for 30 days, after which we may delete it.
12. Changes to the Service and the Terms
We may modify the Service to improve it, address security concerns, or comply with law. Material changes to these Terms will be announced at least 30 days before taking effect for active customers. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate before the new Terms take effect.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict of laws rules. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Harju County Court, Tallinn, Estonia. Nothing in this clause prevents consumers (where applicable) from relying on mandatory local protections.
14. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, any DPA, and applicable order forms, constitute the entire agreement between you and Anvil regarding the Service.
- Severability. If any provision is held unenforceable, the remainder remains in full effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. Official notices to Anvil should be sent to legal@anvilmdm.com.
